Fontsera WebFont License Agreement

This End User License Agreement ("Agreement," "EULA," or "License") is a contract between you (“Licensee”) and Fontsera.

Please read this Agreement carefully. By purchasing, downloading, installing and/or using the Font Software supplied by Fontsera, you are agreeing to the terms of this Agreement.

1. Binding Agreement

You (“Licensee”) are bound by this Agreement and acknowledge that all Use of the Font Software supplied by Fontsera is governed by this Agreement.

We perpetually reserve the right to modify or amend this Agreement in any way what-so-ever, at any time and without notice given.

2. License Grant

Fontsera grants Licensee a perpetual, worldwide, non-exclusive, non-transferable license to embed the Web Font Software on Website(s) which are owned or controlled by Licensee using the @font-face property in CSS. The license granted in this section 2 (License Grant) is subject to all of the terms and conditions of this Agreement.

3. Usage

This WebFont License allows Licensee to embed the Web Font Software on Website(s) which are owned or controlled by Licensee using the @font-face property in CSS for styling HTML web pages (subject to section 5 and 6 and 7 below).

If you just need a Font Software to create static images, purchasing a Desktop License is sufficient.

4. License Specific Restrictions

Use of the Web Font Software is subject to the following restrictions:

(a) Licensee may NOT use the Web Font Software with technologies other than @font-face, such as sIFR, Cufón or Typeface.js.

(b) Licensee may NOT alter, convert, reformat or edit the font software in any manner whatsoever (including webfont conversion). Please contact the Shop Owner to convert the Font Software for you if the web font formats (WOFF, WOFF2, and EOT) are not provided.

(c) Licensee may NOT use the Web Font Software for desktop use.

(d) Licensee may NOT use the Web Font Software in any application allowing an unlicensed end user to customize a digital or physical product to their specific needs using the Font Software, such as an “print on demand”, “on demand”, “made to order” or “build it yourself” applications.

(e) Licensee may NOT embed the Web Font Software in applications, software and hardware such as: video game consoles, interactive terminals, video games, navigation systems, mobile apps, desktop apps, e-books, phones, TVs, cameras.

(f) Licensee may NOT provide a website user the ability to edit text using the Web Font Software if the result is a new document, such as, for example only, a personalized invitation, customized portfolio, or customized product. The Web Font Software may not be used as a tool or resource for unlicensed third parties to create customized products or documents.

Fontsera offers separate licenses that allow for use in desktop, e-publications, applications.

5. License Users

The Web Font Software may be simultaneously used by no more than the number of users and page views declared and paid for at time of purchase.

A “User” is a single person, single client or single company. For a single WebFont License purchase, the Web Font Software may be used on any Website owned or controlled by Licensee within the agreed upon monthly pageview limit selected during the checkout process (subject to section 6 and Section 7).

6. Pageviews

The total traffic of the Website(s), measured in pageviews per month, may be no greater than the number of pageviews selected during the checkout process and stated in the Receipt. To check your pageviews we recommend using Google Analytics to make an accurate measurement to purchase the correct number of monthly pageviews.

If the number of monthly pageviews exceeds the amount stated in the Receipt by over 10% (ten percent) for more than 3 (three) consecutive months, an upgraded license must be purchased within the next calendar month. The difference will be paid between the license that has been purchased and the next tier above.

7. Service Providers

Businesses or organizations such as web design agencies, hosting providers or web-based service providers that are responsible for multiple clients’ websites may not use and/or share a single WebFont License for the use and/or benefit of multiple clients.

The Web Font Software may be used for the client only if:

(a) The client purchased their own WebFont License; or

(b) Licensee purchased the WebFont License on behalf of the client. Licensee shall at all times ensure compliance with the terms of this License Agreement by the client and remain liable hereunder for any non-compliance.

8. Font Software Protection

Licensee agree to take appropriate actions to protect the Web Font Software from hotlinking, re-serving or access from unlicensed parties. This includes but is not limited to installing adequate technical protection measures that restrict the Use of and/or access to the Web Font Software, this can be achieved by modifying your server’s configurations.

9. Third Parties

Licensee may temporarily provide the Font Software to a web designer, web developer, agent, or independent contractor who is working on behalf of the Licensee only if they agree in writing to use the Font Software exclusively for your work, agree in writing to the terms of this Agreement, and retain no copies of the Font Software on completion of the work. Allowing use of the Font Software by any third party in any other circumstance is prohibited.

10. Ownership

This Font Software is licensed—not sold—to the Licensee by Fontsera on behalf of the Shop Owner, and is licensed for use in accordance with the terms of this Agreement. As a Licensee, you become a licensed user NOT an owner of the Font Software.

11. Modifications

Licensee may NOT modify the Font Software, or create Derivative Works from the Font Software without prior written consent from Fontsera or the Shop Owner.

12. Restrictions

Licensee may NOT sell, lease, sublicense, share, distribute, adapt, modify, alter, translate, convert, change, reverse engineer, decompile, disassemble, attempt to discover the source code, or create derivative works from the Font Software without prior written consent from Fontsera or the Shop Owner. Fontsera and the Shop Owner expressly reserve the right to create any such modifications, derivations or adaptations.

13. Copyright

The Font Software is protected by copyright law. The Shop Owner is the sole, exclusive owner of all intellectual property rights, including rights under copyright and trademark law. The Licensee agrees that the Font Software, its structure, organization, code, and related files are property of the Shop Owner and that any intentional or negligent use of the Font Software not expressly permitted by the Agreement constitutes an infringement of intellectual and industrial property rights.

14. Trademarks

Licensee may NOT register, or apply to register, a trademark, design mark, service mark, or tradename, that uses the Font Software (in whole or in part); or claim ownership rights in an attempt to prevent any third party from using that Font Software. Trademarks can only be used in reference to output produced by the Font Software. Referring to a trademark does not give the Licensee any ownership rights for that trademark. Licensee may not change any trademark or trade name designation for the Font Software.

15. Limited Warranty

The Font Software is delivered without any warranties of any kind, either express or implied, including commercial warranties and warranties of fitness for any particular use. Fontsera and the Shop Owner shall in no event give any technical support on how to use the Font Software on your system. Fontsera and the Shop Owner shall in no event be liable to the Licensee for any consequential or incidental damages caused by the use or inability to use the Font Software, including any lost revenue, profits, goodwill or savings, or for any claim by any third party.

16. Termination

Fontsera has the right to terminate your license immediately if Licensee fail to comply with any of the terms listed in this Agreement. Upon termination, Licensee must destroy the original and any copies of the Font Software. The termination of this Agreement shall not preclude Fontsera from taking legal action for any breach of this Agreement.
